It is the consultants/agents responsibility to keep up to date with current changes via our Ice Support Website and regular emails. The agreement between the consultant/agent and Ice Jewellery are governed by the laws of the United Kingdom.
The terms and conditions of your appointment with ICE JEWELLERY LTD (‘the company’) are set out below:
A) CONSULTANT/AGENT OBLIGATIONS
I shall:
1. Use my best ability to promote the sale of all products ethically and professionally.
2. Comply fully with all business procedures set out in the current Training Manual and make sure that I am up to date with any changes.
3. Honour refund requests in accordance with the company refund policy at that time.
4. Only purchase products directly from Ice Jewellery.
5. Pay for all orders via cash, card or your own personal account.
6. Not submit orders in the name of another consultant.
7. Not at any time, suggest or imply that I am employed by Ice Jewellery. I shall at all times identify myself as an Independent consultant.
8. Not misrepresent the company, its products, its marketing plan, income potential, or any other matter.
9. Not sell other party plan opportunities or products that are direct competition of Ice Jewellery.
10. Not permit Ice Jewellery products to be sold in a retail environment.
11. Not permit products to be sold by people not registered as Ice Jewellery consultants. Only registered Ice Jewellery consultants are permitted to sell Ice Jewellery products.
12. Be solely responsible for national insurance contributions and for any taxes payable in respect of commissions paid under this Agreement and will indemnify the company in respect of any claims that may be made against them by the relevant authorities.
13. Be solely responsible for my own insurance in respect of stock held, any orders once they have been received and my own personal public liability insurance.
14. Present Ice Jewellery’s business opportunity in a truthful manner. I will abide by all legal requirements and the Codes of the Direct Selling Association. I will not make any misleading earnings claims. I will accept recruiting responsibilities by ensuring that any prospective recruit is 18 years of age or older.
15. Understand that information and materials provided to me contain confidential and proprietary information of Ice Jewellery. I will not use, disclose or reproduce these materials other than for my business without the prior express written consent of Ice Jewellery.
16. Have no financial obligation during the period of 12 months from the start of this agreement other than to purchase a Starter kit (if a consultant.)
17. Ice Jewellery reserve the right to terminate the agreement if any of the company policies and procedures are breeched.
B) CONSULTANTS/AGENTS STATUS
1. The consultant/agent may cancel this Agreement with immediate effect at any time by notifying the company in writing by recorded letter.
2. The consultant /agent is an independent party consultant/agent.
3. An active consultant/agent is deemed as being a consultant/agent that has placed at least one order per month over 3 consecutive months. A dormant consultant/agent is a consultant/agent that places less than one order per month within a 3 monthly period.
4. He/she is not an employee or partner with the company and must not represent him/herself as such.
5. All consultants/agents are responsible for his/her own business decisions, as well as compliance with the law in the United Kingdom, including tax legislation, business licenses and any other legal obligations that may arise from their business activity.
6. The company is not responsible for any claim of expenditure, loss, cost or liability incurred or put forward by a consultant or third party arising from his/her business activity.
7. No consultant will be given an exclusive territory.
8. The nature of the opportunity is to undertake ICE jewellery parties on behalf of the company on an ‘as and when’ basis from your home. There is no guarantee of work in any given period and it is your responsibility to actively promote your business.
9. Ice Jewellery will not impose any geographical territories or limits relating to sales and recruiting in the United Kingdom.
10. You have no financial obligation during the term of this agreement other than to pay for the products and services ordered.
11. A consultant or Agent will not pay or agree to pay to ICE Jewellery or any other Agent or Consultant a sum in excess of £200 in the first seven days of his/her appointment as an Agent or Consultant (inclusive of monies paid for the Starter kit), whether in respect of products ordered or anything else.
C) COMPANY OBLIGATIONS & TERMINATION OF AGREEMENT
The company shall:
1. Use its best endeavours to supply the consultant with all the current products ordered by the consultant.
2. Comply with its obligations in accordance with the business code.
3. Where written notice is given not more than 14 days after this Agreement has been signed by the consultant/agent, the consultant may terminate the Agreement without penalty. In this case the consultant/agent has the right to recover any monies paid, including the starter kit and additional items purchased from the company. All said items should be in pristine unworn condition and all in their original packaging. All goods should be returned to the companies Head Office address.
4. The company may terminate this consultant Agreement forthwith by written notice in the event of any breech of this Agreement.
5. After a period of 6 months of inactivity a consultant will be deemed to have resigned and this contract will be terminated and its validity null and void.
6. If you terminate this agreement more than 14 days after entering into it or if Ice Jewellery terminates this agreement, you shall have no further contractual obligation to Ice Jewellery and may cancel any outstanding personal orders and immediately receive a full refund of any prepayment for orders not received. You may also return any original, unused, and commercially re-saleable goods purchased from Ice Jewellery within 90 days prior to such termination and Ice Jewellery will give you a full refund of the VAT inclusive price of such goods less 10% handling charge (which will not be levied if Ice Jewellery terminates this agreement), and any diminution in the value of the goods returned to Ice Jewellery in a deteriorated or non-merchantable condition provided that such products were not purchased or acquired in breach of this agreement.
7. Upon termination of the Agreement the consultant/agent will be discharged from all contractual liabilities towards the company under the Agreement except to pay any outstanding amounts owed to the company in respect of orders placed before termination.
8. It is illegal for a promoter or a participant in a trading scheme to persuade anyone to make payment by promising benefits from getting others to join the scheme.
9. The company agrees to Pay (consultants) 25% commission on sales up to £999 per calendar monthly, 27% commission on sales between £1000 - £1349 per calendar month and 30% commission on sales above £1350 per calendar month. All website sales are paid at a flat rate of 25% and do not qualify for any bonus payments/incentives. Payment shall be made by Bank Transfer not more than 10 working days of online orders being placed (consultants) bonus commission payments will be paid via Bank Transfer by the 30th of the preceding month the bonus was accumulated.
10. Pay (agents) 25% commission on all online sales made through their website or placed via Head Office. Pay (affiliates) 10% commission. Payments will be made by PayPal 30 days after the sale date. Agents & Affiliates do not qualify for any bonus payments or incentives.
D) AGE
All consultants must be at least 18 years of age.
E) USING THE INTERNET
Whilst it is recognised that the internet is a useful tool to develop your business, it is essential that all consultants/agents understand that there are detailed rules as to what may and may not be shown on websites. Breeching these rules is a criminal offence. As a result all consultants must use the website supplied by ICE Jewellery and not recreate their own. There are a set of website guidelines, which must be complied with. As a general rule it is imperative to avoid exaggeration and claims that cannot be up held or proven.
In addition it should be noted that the sites may only be used to identify prospective consultants and hosts. Specifically ICE Jewellery consultants/agents may NOT sell ICE Jewellery on e-Bay or any similar websites.
The content on the ICE Jewellery website is created by ICE Jewellery and is intended for use in the UK. Unless otherwise stated all website design, jewellery images, text, slogans and graphics are protected by the Trade Mark and Copyright laws and all rights are reserved. None of the company’s material may be downloaded, copied, posted, displayed, reproduced, used in whole or part for any purpose unless such use is authorised by ICE Jewellery.
F) SECURITY OF BUSINESS AND PROFESSIONAL INFORMATION
1. All information relating to the business and affairs of the Company shall be deemed to have been received or acquired by you in confidence. You shall not, before or at any time after the termination of this Agreement, communicate any such information concerning the trading of the Company, its methods of operation, its client list or confidential payment information received from hosts. All payment information should be shredded using a professional shredding system and disposed of as confidential waste.
2. On termination of your Agreement you shall hand over to the Company all customer records, documents and other property of the Company or its hosts which may be in your possession or under your control. The Company also reserves the right to withhold any sums payable to you until such time as all records, documents and other Company property has been returned to the Company to its reasonable satisfaction.
3. The Company is the owner of its image and it is solely responsible for its distribution. No consultant may make unauthorised use of the Company logo, name or information unless they have consent from the Company.
4. Reproduction of ICE Jewellery marketing materials is expressly forbidden without the written permission from the Company.
5. ICE Jewellery reserves the right to refuse publication of any advertising, editorial or promotional material in any media.
6. Any consultant/agent who breeches these rules will have their Agreement terminated.
G) AGREEMENT
This Agreement and the Company Training Manual combined are the entire agreement between parties.
